Welcome to Coderize Solutions (“Coderize,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, software, solutions, demo environments, and professional services (collectively, the “Services”). By accessing or using our Services, you agree to these Terms.

If you are using the Services on behalf of a financial institution, investment manager, or corporate entity, you represent that you have the authority to bind that entity to these Terms.

1. Use of Services

1.1 Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement.

1.2 Permitted Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

1.3 Prohibited Use

You may not:

  • Engage in unauthorized access, reverse engineering, scraping, or interference
  • Introduce viruses, malware, or disruptive code
  • Use the Services to process unlawful or unauthorized financial data
  • Attempt to breach security, access restricted areas, or impersonate others

Coderize may suspend access if prohibited behavior is detected.

2. Account Registration

Some Services may require you to create an account or authenticate via your company’s SSO.
You agree to:

  • Provide accurate information
  • Maintain confidentiality of credentials
  • Notify us immediately of unauthorized use

You are responsible for all activities under your account.

3. Client Data & Confidentiality

3.1 Ownership

All data uploaded, transmitted, or integrated by clients (“Client Data”) remains the sole property of the client.

3.2 Confidentiality

Coderize will treat Client Data as confidential and will not:

  • Access Client Data except as necessary to provide the Services
  • Disclose Client Data to third parties except to approved subprocessors
  • Use Client Data for any purpose other than delivering agreed services

3.3 Security Measures

Coderize implements industry-standard controls aligned with SOC 2, ISO 27001, and financial-services expectations, including encryption, access controls, logging, and continuous monitoring.

4. Financial-Firm & Regulated-Client Obligations

If you are a financial institution, investment manager, broker-dealer, or other regulated entity:

  • You must ensure the data you provide complies with applicable laws (SEC, FINRA, OCC, GDPR, etc.)
  • You are responsible for ensuring Coderize is authorized to process such data under your internal policies
  • You retain responsibility for regulatory filings, attestations, investor communications, and compliance outcomes

Coderize provides tools and software but does not act as a regulated financial advisor, fiduciary, broker, or transfer agent.

5. Intellectual Property

5.1 Coderize IP

Coderize retains all rights to:

  • Software, code, designs, APIs
  • Documentation, training materials
  • Branding, trademarks, and content

You receive a limited, revocable, non-exclusive license to use the Services solely for internal business purposes.

5.2 Restrictions

You may not copy, repurpose, distribute, sublicense, or create derivative works unless expressly permitted by contract.

6. Third-Party Services

Coderize may integrate with third-party applications, cloud services, and APIs.
We are not responsible for:

  • Their uptime, performance, or availability
  • Their privacy or security practices
  • Data handling by those third parties

Use of third-party services is governed by their respective terms.

7. Fees & Billing (If Applicable)

If you purchase a paid service, you agree to:

  • Pay all fees in accordance with your agreement or order form
  • Authorize charges to your selected payment method or invoice process
  • Cover applicable taxes, except those based on Coderize’s income

Late payments may result in suspension of Services.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind.
Coderize does not warrant that:

  • The Services will be error-free or uninterrupted
  • Data processed will be complete, accurate, or suitable for regulatory use
  • Integrations will work with all third-party systems at all times

Clients remain responsible for reviewing outputs for accuracy.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Coderize shall not be liable for indirect, incidental, consequential, punitive, or special damages
  • Coderize’s total liability shall not exceed the amount paid for the Services in the preceding 12 months
  • Coderize is not responsible for losses related to regulatory filings, investment decisions, compliance errors, or operational decisions made by clients

These limitations apply even if Coderize has been advised of potential damages.

10. Indemnification

You agree to indemnify and hold harmless Coderize against all claims, losses, liabilities, and expenses arising from:

  • Misuse of the Services
  • Violation of these Terms
  • Submission of unauthorized or unlawful data
  • Regulatory or compliance actions caused by misuse

11. Termination

11.1 By You

You may stop using the Services at any time.

11.2 By Coderize

We may suspend or terminate access if:

  • You violate these Terms
  • Payment obligations are not met
  • The Services are discontinued

Upon termination, your right to access the Services ceases immediately.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflicts principles.

Any disputes shall be resolved through:

  • Good-faith negotiation, then
  • Binding arbitration in Philadelphia, PA (unless prohibited by law)
  1. Modifications

Coderize may update these Terms from time to time.
Changes become effective upon posting with an updated “Last Updated” date.

Continued use of the Services constitutes acceptance of the updated Terms.
